1. Acceptance
By purchasing from or using Sales EDC (the "Service") provided by EA LLC, a California limited liability company ("EA LLC", "we", "us"), you ("you", "User") agree to these Terms of Service ("Terms") and our Privacy Policy at sales-edc.com/privacy. If you do not agree, do not use the Service.
2. The Service
Sales EDC provides market intelligence tools, contact enrichment, pre-call briefs, and other research services for outside sales professionals. The Service includes both à la carte purchases and subscription tiers (Basic and Pro).
3. Eligibility
You must be at least 18 years old and legally capable of forming a binding contract. By using the Service you represent that you meet these requirements.
4. Your Data
You retain all rights to data you provide ("Your Content"). You grant EA LLC a limited license to process Your Content solely to provide the Service's features (research, enrichment, briefing, vault storage). We do not sell Your Content. See our Privacy Policy for full details.
5. Permitted Use
You may use the Service for personal and professional purposes consistent with these Terms and applicable law. You may not:
- Violate any law or third-party rights
- Resell or redistribute Service access without written consent
- Reverse engineer or attempt to derive source code
- Use the Service to send spam or unsolicited communications
6. Pricing and Billing
Pricing is displayed on our website. EA LLC may modify pricing on at least 30 days' advance notice. All fees are charged in USD. Sales tax is collected where required. See our Refund Policy for refund terms.
7. AI-Generated Content
The Service uses AI models to generate reports, enrichment, and briefings. AI output may contain errors or omissions. You are responsible for verifying AI-generated content before acting on it. EA LLC does not warrant that AI output is accurate, complete, or fit for any particular purpose.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EA LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR LOST DATA. OUR AGGREGATE LIABILITY FOR ANY CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.
10. Termination
You may stop using the Service and request deletion of Your Content at any time by emailing [email protected]. EA LLC may suspend or terminate your access for breach of these Terms or legal compliance reasons.
11. Governing Law
These Terms are governed by California law. Disputes will be resolved in San Francisco County, California, unless you opt out by emailing [email protected] within 30 days of first accepting these Terms.
12. Changes to Terms
We may update these Terms from time to time. We'll notify you via email or the Service. Continued use after changes constitutes acceptance.
